Hon. Federico Hernández Denton, lawyer, judge and all around citizen obtained his bachelors degree in Law from Harvard University in 1969. He then held various positions at the University of Puerto Rico Marketing Department, the Mercantile Law Chair, the directorship of the Center for Commercial Investigations and in 1970 he was the founder and director of the Institute of Investigations for Consumer Problems.
On June 14th 1985 he was appointed as Associate Judge of the Supreme Court of Puerto Rico, where he presided for sixteen years. On August 9th 2004 he was named President of the Supreme Court. His presidency was sustained on three key themes: equity in access to justice, the modernization of the Judicial Branch and transparency in the judicial process. Due to constitutional imperative, he stepped down from the judicature in 2014.

Federico Hernandez Pico, lawyer, entrepreneur and philanthropist obtained his bachelors degree and Executive Masters in Economics from Columbia University in 2003. He then held various position in the financial services industry most notably as Vice-President of Investments at UBS International, directing a special team in Credit Union Asset Management and Private Treasury. On 2012, he founded Cafema Group a Private Equity Firm where he developed portfolios that include companies in Outdoor Media, Telecommunications Towers, Restaurants, and Credit Card Processing. In 2012 after the pass of the Act 20/22 legislation, he Founded Fortalia Consulting in efforts to fill in a gap in consulting companies addressing a soft landing in Puerto Rico. He has been a firm believer in Puerto Rico Economic Development and has aided many companies in adapting to the Puerto Rico culture and business world.

Mrs. Quintana-Lloréns is one of the founding partners of the firm. The lawyer main areas of practice include notarial law and inheritance law with an emphasis in real estate and mortgage law. She has had extensive experience in the preparation and negotiation of purchase and sale agreements, title and due diligence review, and negotiation of financing agreements executed in connection therewith. Among other services, she also prepares and review related contracts, including legal loan documentation, mortgages, and deeds of acquisition and lease options.
In Puerto Rico,real estate matters is grounded on the civil law tradition. Thus, legal documents related to real estate and mortgage law must be drafted by a notary complying with Puerto Rico’s Notarial Law to gain access to public registries. The lawyer acquired vast experience while she served as Director of the Office of Inspection of Notaries of the Supreme Court of Puerto Rico.Also, she served as special collaborator for the Commission for the Study and Evaluation of the Notarial Function in Puerto Rico.
She is an adjunct professor at the law school of the University of Puerto Rico where she helped to organize the Legal Aid Notarial Clinic. Mrs. Quintana-Lloréns, recently participated in the drafting of Puerto Rico’s Mortgage Law and its regulations. The lawyer has been a frequent speaker at seminars for the Continuing Legal Education Program and has represented Puerto Rico at the XXVII International Congress of the Notary sponsored by theInternational Union of the Notaryin Lima, Perúon October, 2013. She attended theSecond Ordinary Session of the Notary Conference of Puerto Rico of the Supreme Court of Puerto Rico on October, 2015.Also, she is an ex-member of the Redactors’ Panel of Puerto Rico’s Board of Bar Examiners.

Puerto Rico’s Tax Incentives

Act 20 | Export Services

On January 17, 2012, Puerto Rico passed the “Export Services Act” with the goal of making the island an international center for the exportation of services.

  • 4% Corporate Tax Rate
  • 100% tax exemption on dividends or profit distributions
  • 100% exemption on property taxes
  • 20 year decree, with a possible 10-year extension

Act 22 | Individual Investors

The Act No. 22 of 2012 also enacted on January 17, 2012 provides tax exemptions to eligible individuals residing in Puerto Rico.

  • 100% tax exemption from Puerto Rico income taxes on dividends
  • 100% tax exemption from Puerto Rico income taxes on  interest
  • 100% tax exemption from Puerto Rico on all short-term and long-term capital gains accrued after becoming a PR resident

Act 73 | Economic Incentives for the Development of Puerto Rico

The Act 73 provides economic incentives, tax exemptions and tax credits to businesses engaged in eligible activities in Puerto Rico.

  • 4% fixed income tax rate
  • 0% or 1% tax on “pioneer industries”
  • Credit of up to $5,000 for each job created
  • Credit of up to $50,000 for research and development
  • Credit for purchase of locally manufactured products
  • Up to 10% credit for industrial energy consumption
  • 90% exemption on property tax and 60% exemption on municipal tax

Act 273 | International Financial Center Regulatory Act

The Act 273 is adopted to expand Puerto Rico as an international financial center and promote economic growth by broadening the scope of banking activities for international financial entities (IFEs) organized in Puerto Rico as well as additional tax incentives for these IFEs.

  • 4% fixed income tax rate
  • 100% exclusion of interest, financing charges or participation in partnerships benefits
  • 6% fixed income tax rate on on dividends and pro-rate share of benefits of the corresponding IFE for shareholders or partners of an IFE that are residents of Puerto Rico
  • 100% exemption on property tax  belonging to an IFE
  • 100% exemption on municipal tax
